  • We advised on the proposed merger and business combination of various insurance businesses in Nigeria in which an international insurance company holds substantial equity interest;
  • We acted as solicitors to a financial holding company in the restructuring of its Share Capital.
  • We advised a listed European entity on its acquisition of four private Nigerian companies and the subsequent restructuring of the companies;
  • We advised a consortium comprising of Amethius and Euromena in the acquisition of two Nigerian companies in the Fast Moving Consumer Goods sector;
  • We acted for Consolidated Breweries Plc. in its successful merger with Nigerian Breweries Plc. in 2014 creating the largest company in the sector;
  • We advised a financial holding company in its divestment from one of its banking subsidiaries;
  • We advised a client in a cross border transaction involving the acquisition of the controlling stake in a company within the power sector;
  • We acted as Joint Solicitors to the Trustees in the first tranche (N5 Billion) of the Oyo State N55 Billion Debt Issuance Programme;
  • We acted as Joint Solicitors to the Issue in the Ekiti State Government Debt Issuance Programme (Tranches 1 and 2);
  • We advised SRM Partners Limited in its acquisition of First Bank of Nigeria Plc’s entire shareholding in and take over of First Registrars Nigeria Limited;
  • We advised Broad Communications Limited in its divestment of its entire shareholding from Airtel Networks Limited in 2013;
  • We acted as Joint Solicitors to the Issue in the Rivers State Government of Nigeria suspended N250 Billion Debt Issuance Programme;
  • We advised an international maritime company on the restructuring of its operations and businesses in Nigeria to meet emergent regulatory changes in the energy and shipping industry;
  • We acted as Solicitors to the Security Trustee in respect of a syndicated facility extended to Hygeia Limited by the International Finance Corporation (IFC) and Ecobank Nigeria;
  • We advised Femi Johnson and Company Limited in the acquisition of 60% of its shares by ForbesAfrinet of South Africa;
  • We were Transaction Counsel to Fan Milk Plc in relation to the recapitalization of the Company with an IFC/DDS loan of $4,000,000.00 by way of Convertible Debenture Stock;
  • We acted as the Lead Solicitor to the Issue in the Ondo State Government Multiple Series Debt Issuance Programme in 2012;
  • We acted as Joint Solicitors to First Bank of Nigeria Plc. in its discontinued N500 Billion Debt Issuance Programme;
  • We acted as Solicitors to the Trustee in the ARM Hospitality and Retail Fund;
  • We acted as Solicitors to the Issue with respect to the Public Offer and Rights Issue carried out by African Petroleum Plc. in 2008; and
  • We acted as Solicitors to the Trustee with respect to the Union Homes Savings and Loans Plc. sponsored Real Estate Investment Trust (REIT) in 2008 (the first Real Estate Investment Trust to be established in the Nigerian capital market).
  • Acted as Country Consultant to the World Bank Group/IMF in its formal assessment of the strengths and weaknesses of the legal, regulatory and institutional framework of Corporate Governance in Nigeria;
  • Provided legal advisory services to a client in relation to infrastructure sharing and collocation of optical fibre installations between telecommunication companies in Nigeria;
    • We are currently engaged in multi-jurisdictional litigation in the Nigerian, United Kingdom and Swiss courts concerning a dispute over entitlement to receivables earned in Nigeria as between Nigerian and United States joint venture partners.
    • We are currently involved in multi-jurisdictional litigation on behalf of a client against the Government of the Republic of Ghana before the ECOWAS Community Court of Justice;
    • We successfully resisted the registration and enforcement of a judgment of the Kings Bench Division of the High Court of England against a Nigerian client all through to a successful final appeal decided by the Supreme Court of Nigeria.
    • We successfully challenged the constitutionality of a provision of the Federal High Court Act providing for the transfer of cases from the State High Courts to that court in a Receivership claim commenced in the State High Court. This appeal was eventually resolved in our favour by the Supreme Court.
    • We are currently representing the dependents of 26 deceased persons in the prosecution of a multi-million dollar class action lawsuit filed against a local airline operator whose McDonnell Douglas 83 aircraft crashed in Lagos, killing all on board and some ground victims.
    • Currently involved in multi-jurisdictional litigation on behalf of a client against the Government of the Republic of Ghana before the ECOWAS Community Court of Justice and the Courts in Ghana concerning breaches of our client’s fundamental human rights in the course of expropriation of his investments in Ghana.
    • We conducted the defence of a multi-million dollar hospitality industry dispute in an ad-hoc arbitration held at the LCIA and engaged in proceedings before the commercial courts in London seeking the removal of the Arbitrator and the setting aside of his Award; and
    • We were Part of the team that represented a major investor in the Nigerian Telecommunications Sector in arbitral proceedings conducted in London under the LCIA Rules concerning rights of pre-emption and the enforcement of a contract for sale of shares governed by a restrictive shareholders Agreement.
    • Represented the Power Holding Company of Nigeria Plc through its multi-billion naira litigation and arbitral proceedings against the Lagos State Government in respect of a dispute over the supply of electric power from off-shore barges.
  • We acted for Exernegia Energy Limited in negotiating and structuring the formation of the Mex Power Consortium engaged in power production, supply and implementation of power infrastructure projects in Nigeria;
  • We acted for Fan Milk Plc. on its proposed establishment of an Independent Power Plant (“IPP”) for the generation of power required by its factories in Ibadan, Nigeria;
  • We are currently acting for a Nigerian registered limited liability company in its proposed part acquisition of the National Electricity Supply Company’s 30 MW hydro power plant in Jos, Nigeria; and
  • We represented the Power Holding Company of Nigeria in multi-billion naira litigation and arbitral proceedings with the Lagos State Government in respect of a dispute over the supply of electric power from off-shore barges.
  • We were part of a team that acted for Tidewater Marine International, a leading multi-national oil services company, in structuring and negotiating a joint venture arrangement with a local partner;
  • We acted for Mos Energy Company Limited in its acquisition of an equity stake in PNG Gas Limited, the proprietor of the Egbaoma Gas Plant, Delta State;
  • We were part of a consortium of law firms that acted for Delta Upstream Limited in respect of the provision of jack up drilling rigs and ancillary drilling services for and on behalf of Delta Upstream Limited to bid for Total E & P Limited contracts in the JV offshore 2014 – 2017 drilling campaign;
  • We successfully acted for Petrolex Oil & Gas Limited and obtained judgment against a shipping company in a midstream multi-million contract dispute for the carriage of refined petroleum products;
  • We successfully acted for Coastland Energy Logistics Limited in an ad hoc arbitration against International Energy Insurance Plc and recovered the statutory entitlements in respect of a staff that died on board our client’s vessel; and
  • We acted on behalf of the Claimants against a multinational in a dispute involving joint venture service and personnel procurement contract and successfully recovered the Claimants’ investment in the contract.
  • Acted for ARA Mineral Limited in respect of the structuring and financing of its multi-million dollar joint venture with PERFRUOR VENTURES SKO for the development of a Gold and Iron-Ore deposit.
  • We successfully negotiated a settlement in a claim against a client for the infringement of a trademark in a multimillion dollar dispute;
  • We are currently negotiating a trademark co-existence agreement between a Nigerian company and a multinational company operating in the cosmetic and beauty industry;
  • We are currently defending a local applicant in a trademark opposition action filed by a multinational;
  • We are currently coordinating the registration of several trademarks in Nigeria, OAPI and ARIPO Countries for a leading multi-national dairy company with business interests in Nigeria; and
  • We are involved in the recordation of the assignment of the trademarks and design portfolio of a leading subsidiary company in Nigeria to its parent Company based in Denmark.
  • Currently coordinating multi-jurisdictional trademark applications regarding the Kiza Logo and Design in Nigeria, OAPI and ARIPO countries, including the United States, Europe and Canada.
  • Advised Budweiser Budvar regarding its trademark rights to the Budweiser brand in the face of competing claims from Anheuser Busch in Nigeria and sub-Saharan Africa.
  • Advised an internationally acclaimed Artist and Painter on her intellectual property rights to certain artistic works and prepared a Copyright Transfer Agreement regarding a significant business deal with Oando Nigeria Limited.
  • Representing MTN Nigeria Limited in a multi-billion naira Copyright Infringement lawsuit instituted by the Copyright Society of Nigeria before the Federal High Court in Lagos.
  • We acted for ARA Mineral Limited in respect of the structuring and financing of its multi-million dollar joint venture with PERFRUOR VENTURES SKO for the development of a Gold and Iron-Ore deposit.
  • We successfully prosecuted an appeal against a multimillion-dollar tax assessment before the Tax Appeals Tribunal on behalf of a leading multinational oil company. The disputed assessment was set aside by the Tribunal;
  • We successfully represented a multi-national oil company in negotiating with the Federal Government of Nigeria for a multi-million dollar restitution; and
  • We successfully advised a multi-national oil company with respect to its withholding tax liability to the Federal Inland Revenue Service, Nigeria.
  • We are currently acting for Asset & Resource Management Company Limited in respect of the purchase and registration of 11,250 Square meters of land in Lagos State.
  • We acted as Sole Solicitor in the loan/security deed transaction registration between International Finance Corporation and Hygeia Nigeria Limited and facilitated the registration of the security trust deed between parties at the Lagos State Lands Bureau.
  • We acted as sole solicitors for the Fowosege Family whose land was originally swamp land in the kajola area of Ibeju-lekki, Lagos State. Over two million square metres of the land was reclaimed and we facilitated and drafted the documentation stating all parties’ rights and expectations in this respect.
  • We acted as sole solicitors in the preparation of all the required documentation in respect of the assignment transaction of 342,500 square meters of land in Ibeju-Lekki between the Ojomo Chieftaincy Family and Adeogun Ogunbono.
  • We acted as Estate Solicitors to the large Estate of a high net worth individual resident in Lagos state.
  • Presently acting as solicitors and advisers to a proposed multi-million dollar mixed user real estate development project in the high-brow Victoria Island area of Lagos.
  • We represented the interest of the Assignor in a recently concluded negotiation and sale of a multi-million naira real estate development in the Apapa area of Lagos.
  • We are presently acting as solicitors with respect to validation of title and registration of subsequent transfer of interest in real property at various Land Registries across Nigeria.
